2. Scope of services
We provide Flash → HTML5 porting, remastering, full-cycle game development, SDK/ad integrations, optimization, and post-launch support. Specific deliverables, timelines, and fees are defined in each project quote or statement of work (“SOW”).
3. Quotes, pricing & payments
- All prices are listed in GBP (£) unless stated otherwise.
- Quotes are estimates based on the information you provide and may change if scope changes.
- Unless otherwise agreed: 50% upfront to start, 50% on delivery. Invoices are due within 14 days.
- Late payments may incur a reasonable late fee and/or suspension of work.
4. Client responsibilities
- Provide accurate project information, timely feedback, and required assets (art, audio, fonts, licenses).
- Ensure you own or have rights to all materials you supply. You indemnify us against third-party claims arising from client-supplied materials.
5. Intellectual property
- Your IP: You retain ownership of your pre-existing assets and IP.
- Deliverables: Upon full payment, you receive the rights outlined in the SOW (e.g., source code, builds, or binaries). Unless the SOW grants exclusive rights, we retain a non-exclusive right to reuse non-client-specific tools and know-how.
- Portfolio right: We may showcase non-confidential project work (screens, logos, short clips) in our portfolio and marketing unless you expressly prohibit this in writing.
6. Third-party tools & platforms
We may use engines, libraries, SDKs (e.g., ad/analytics). You are responsible for any third-party accounts, fees, and policies that apply to your distribution platforms.
7. Warranties & disclaimers
- We provide the Services with reasonable care and skill.
- Except as expressly stated, the Services are provided “as is” without warranties of merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, lost profits or data. Our total liability under these Terms is limited to the amount you paid for the specific Services giving rise to the claim.
9. Termination
- Either party may terminate for material breach if not cured within 10 days of written notice.
- On termination, you pay for work completed up to the termination date and we deliver agreed interim deliverables.
10. Confidentiality
Each party will keep the other’s non-public information confidential and use it only for performing these Terms or a related SOW.
11. Changes to Terms
We may update these Terms to reflect changes in our Services or legal requirements. We will post the updated version with a new effective date.
12. Governing law
These Terms are governed by the laws of the United Kingdom. Courts of England and Wales shall have exclusive jurisdiction, unless mandatory consumer protection laws apply.
